Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Just FOMO LTD, a company registered in England and Wales (company number 16533971), with its registered office at 50 Princes Street, Ipswich, England, IP1 1RJ (“we”, “us”, “our”).

By accessing or using V Social (“the Platform”), including any associated mobile applications, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

You must be at least 18 years of age to create an account or use the Platform. By registering, you represent and warrant that you meet this age requirement. We reserve the right to request proof of age and to suspend or terminate accounts where we reasonably believe the user is under 18.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:

• Provide accurate and complete registration information.
• Keep your password secure and not share it with any third party.
• Notify us immediately at legal@v.social if you suspect unauthorised access to your account.

We reserve the right to reclaim usernames that are inactive, misleading, or infringe trademarks.

4.1 Ownership

You retain all ownership rights in the content you create and upload to the Platform (“User Content”), including posts, clips, videos, live streams, images, and messages.

4.2 Licence to us

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (for technical purposes such as transcoding and format conversion), distribute, and display your User Content solely for the purpose of operating, promoting, and improving the Platform. This licence continues until you delete the content or your account, after which we will remove it within a reasonable timeframe, except where retention is required by law or for legitimate business purposes (such as cached or archived copies).

4.3 Representations

You represent and warrant that:

• You own or have the necessary rights to post your User Content.
• Your User Content does not infringe the intellectual property, privacy, or other rights of any third party.
• Your User Content complies with these Terms and all applicable laws.

You agree not to:

• Post content that is unlawful, defamatory, obscene, harassing, threatening, hateful, or that promotes violence or discrimination.
• Post sexually explicit content involving minors, or any content that exploits children.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Engage in spam, phishing, or any form of unsolicited bulk messaging.
• Upload viruses, malware, or any code designed to disrupt, damage, or gain unauthorised access to the Platform or its users.
• Scrape, crawl, or use automated means to access the Platform without our prior written consent.
• Circumvent, disable, or interfere with any security or access-control features of the Platform.
• Use the Platform for any illegal purpose or in violation of any applicable law or regulation.
• Sell, resell, or commercially exploit your account or access to the Platform without our written permission.
• Manipulate engagement metrics (likes, views, followers) through artificial or deceptive means.

We reserve the right to remove any content and suspend or terminate any account that violates these rules, at our sole discretion and without prior notice.

When you broadcast a live stream on the Platform, you are solely responsible for all content transmitted during the stream. The Prohibited Conduct rules in Section 5 apply to live streams in real time. We may monitor, interrupt, or terminate a live stream at any time if we reasonably believe it violates these Terms.

If you use simulcast features to rebroadcast your stream to third-party services, you are responsible for complying with those services’ terms of service in addition to ours.

The Platform may offer paid features, including Super Chats (monetary tips sent during live streams). All payments are processed by our third-party payment provider. By making a payment, you agree to that provider’s terms of service.

• All payments are final and non-refundable unless required by applicable law or at our sole discretion.
• Prices are displayed in the currency shown at the point of purchase.
• We reserve the right to modify pricing or discontinue paid features at any time with reasonable notice.

Users may create and participate in communities on the Platform. Community creators and moderators are responsible for enforcing their community guidelines, provided they remain consistent with these Terms. We reserve the right to intervene in, restrict, or remove any community that violates these Terms.

The Platform provides direct messaging and voice/video call features. Messages are private between participants. You must not use messaging features to send spam, unsolicited content, or material that violates Section 5. We may scan messages for malware or illegal content as required by law, but we do not routinely monitor the contents of private messages.

The Platform and its original content (excluding User Content), features, and functionality are owned by Just FOMO LTD and are protected by copyright, trademark, and other intellectual property laws of England and Wales and international treaties.

The V Social name, logo, and all related names, logos, product and service names, designs, and slogans are our trademarks. You must not use them without our prior written permission.

We respect the intellectual property rights of others. If you believe your copyright has been infringed on the Platform, please send a written notice to legal@v.social containing:

• Identification of the copyrighted work you claim has been infringed.
• Identification of the material on the Platform that you claim is infringing, with enough detail for us to locate it.
• Your contact information (name, address, email, telephone number).
• A statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf.
• Your physical or electronic signature.

We will review valid notices and take appropriate action, which may include removing the infringing content and suspending repeat infringers.

The Platform integrates with third-party services to provide features such as video hosting, payments, authentication, and communications. Your use of those services is subject to their respective terms and privacy policies. For more detail, see our Privacy Policy. We are not responsible for the practices of third-party services.

The Platform may contain links to third-party websites or content. We do not endorse or assume any responsibility for third-party sites, information, materials, products, or services.

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Platform will be uninterrupted, timely, secure, or error-free.
• Any content on the Platform is accurate, reliable, or complete.
• Defects will be corrected or that the Platform is free of viruses or other harmful components.

To the fullest extent permitted by law, Just FOMO LTD and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Platform.

Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the amounts you have paid to us in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (£100).

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

You agree to indemnify, defend, and hold harmless Just FOMO LTD and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

You may delete your account at any time through your account settings. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.

We may suspend or terminate your account at any time, with or without cause and with or without notice, if we reasonably believe you have violated these Terms, engaged in unlawful conduct, or if continued use poses a risk to the Platform or other users.

Upon termination, your right to use the Platform ceases immediately. Sections 4.2 (Licence), 10, 13, 14, 15, and 18 survive termination.

We may revise these Terms at any time. If we make material changes, we will provide reasonable notice by posting a notice on the Platform or sending you an email. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and delete your account.

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

• Entire agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Platform.
• Severability — if any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
• Waiver — our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment — you may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
